NextTrip Privilege, Inc. was incorporated in Nevada in April 2025. We are a travel and lifestyle company offering membership-based travel and entertainment club services designed to provide travelers with value, flexibility, and access to curated travel experiences. Members receive wholesale access to hotels, resorts, cruises, vacation rentals, and other travel products at net rates, free of retail markups.
The NextTrip Privilege platform combines advanced booking technology with dedicated travel advisors and includes Room Coins, a digital currency allowing members to redeem discounts on hotel bookings. By integrating technology, curated offers, and personalized customer service, we offer a superior alternative to traditional online travel agencies and timeshare arrangements.

Shareholders receive a Travel and Entertainment Club membership and Room Coins redeemable toward hotel stay discounts, with both the membership duration and the number of Room Coins scaling with the investment level.
NextTrip Privilege offers shareholders something no other travel or entertainment club provides: a genuine ownership stake in the company through a SEC-Qualified Regulation A+ offering. Class A Common Stock is priced at $1.00 per share, with a minimum investment of $1,000. Financial participation and lifestyle access are unified from day one.
Shareholders own shares in NextTrip Privilege, Inc. and may benefit from share price appreciation if the company grows in value, may receive dividends if the company distributes profits to shareholders, and participate in mergers, acquisitions, or other value-creating events. Our Relationship with
NextTrip, Inc.

NextTrip Privilege, Inc. operates under a Licensing and Services Agreement with NextTrip, Inc., a public company listed on the Nasdaq Capital Market. Under this agreement, NextTrip, Inc. provides personnel to support our operations, a license to use the NextTrip name and brand, and a license to use its proprietary software platform in connection with our private-label website available to members.
NextTrip, Inc. has also agreed to fund our operations until we raise sufficient capital to fully cover our operating expenses. This relationship gives NextTrip Privilege access to an established technology infrastructure, supplier relationships, and decades of travel industry expertise built by the NextTrip team.
The leadership teams of both companies are closely aligned: Don Monaco, Bill Kerby, and Frank Orzechowski serve in leadership roles at both NextTrip Privilege, Inc. and NextTrip, Inc. NextTrip, Inc. also holds an option to acquire the controlling interest in NextTrip Privilege, Inc.

The leadership team at NextTrip Privilege, Inc. brings together decades of combined experience in travel, technology, financial management, and high-performance sales. Their collective background spans building and scaling global travel platforms, managing public companies, and structuring investment offerings.

Don Monaco

PRESIDENT, CHAIRMAN OF THE BOARD & DIRECTOR
Don Monaco brings approximately three decades of experience as an international information technology and business management consultant, including 28 years at Accenture where he served as a partner and senior executive for 18 years. He subsequently founded and operated Monaco Air Duluth, LLC, a full-service fixed-base operator aviation services company at Duluth International Airport. He also served as a Commissioner of the Metropolitan Airports Commission in Minneapolis-St. Paul for over 16 years, appointed by three different Minnesota Governors. Don also serves as Director and Chairman of the Board of NextTrip, Inc. He holds BS and MS degrees in Computer Science Engineering from Northwestern University.

Bill Kerby

VICE PRESIDENT & DIRECTOR
Bill Kerby has over two decades of experience in the travel and media industries and approximately a decade in finance. He is the architect of the NextTrip model, overseeing its Travel and Media divisions. He founded Travelbyus, a publicly traded company on the Toronto Stock Exchange and Nasdaq with over 500 employees and gross revenues exceeding $3 billion. He also founded Leisure Canada, encompassing Thrifty Car Rental, TravelPlus, Bluebird Holidays, and Canadian Traveler magazine. Bill also serves as Chief Executive Officer and Director of NextTrip, Inc. He holds a Specialized Honors Economics degree from York University.

Frank Orzechowski

CHIEF FINANCIAL OFFICER & DIRECTOR
Frank Orzechowski is a seasoned financial executive with broad experience across financial services, technology, and operations. He served as Chief Financial Officer of StormHarbour Partners LP, an independent global markets and financial advisory firm, and as CFO of Nikko Americas Holding Company Inc. He began his career at Coopers & Lybrand in 1982 and received his CPA certification in 1984. Mr. Orzechowski also serves as Chief Financial Officer of NextTrip, Inc. He holds a BS in Business Administration with a major in Accounting from Georgetown University.
